By-Laws of El Moro Democratic Club

Article I – Name

The name of this organization shall be El Moro Democratic Club.

Article II – Objectives and Policy

Section 1. The objectives of the club shall be to:

a. Perpetuate the ideals and principles of the U.S. Constitution.

b. Perpetuate the ideals and principles of the Democratic Party. Contribute to the continual improvement of American government at every level by developing a greater influence for the Democratic Party through increased leadership and responsibility.

c. Urge qualified Democrats to serve their government. Assist Democratic candidates.

d. Inform, interest and educate the voters of the community. Act as a sounding board for voter opinion.

e. Act as an informed local source of information concerning Democratic policies and candidates. Encourage acceptance of individuals without regard to sex, race, religion, color, cultural or family background. The El Moro Club, its members and officers shall strive to promote acceptance and shall not discriminate against individuals or groups based on age, creed, color, race, religion, ethnicity or cultural background, gender identity and expression, sex, sexual orientation, height, weight, marital status, military obligation or veteran status, national origin, physical or mental ability, pregnancy, parental status, socio-economic or employment status.

Section 2. The club shall endorse candidates whom the members deem worthy of endorsement. Following the state primary, the club shall give support to nominees of the Democratic Party. Endorsements for local candidates and non-partisan offices shall be informed by the club Policies and Procedures Manual.

Section 3. The club shall be affiliated with such other Democratic organizations as directed by the membership.

Article III – Membership

Section 1. All voting members shall be registered Democrats residing in the district to which the Club is chartered.

Section 2. Members shall be in good standing and eligible for any office in the club on paying minimum annual dues to the Treasurer. Associate Members (not registered) are non-voting.

Section 3. Members may be expelled for cause by a vote of two-thirds of the membership attending a regular meeting.

Section 4. The El Moro Democratic Club does not restrict participation based on membership in other organizations or chartered clubs supporting the values of the Democratic Party.*

* In regards to chartered Democratic clubs, members should be aware that they may only be counted in one club for State and County filings and chartering.

Article IV – Officers

Section 1. The officers shall be elected annually at a time determined by the Executive Committee and shall hold office for one year. The Executive Committee shall call a special election to fill vacancies.

Section 2. The officers of the club shall be the following:

a. President (or) Co-Chair (in lieu of) b. Vice President (or) Co-Chair (in lieu of) c. Secretary d. Treasurer e. GOTV Outreach Coordinator

Section 3. The Executive Committee, composed of all club officers, including committee chairs, shall meet regularly to prepare agendas and programs for club meetings, authorize expenditures as necessary and required by a vote of the membership at regular meetings, and propose club projects and activities. Its responsibilities shall also include the following:

a. During election years, organize volunteers to register party voters, canvass voters in local precincts by walking and phoning, and promote voting for party candidates.

b. Analyze income and expenditures, prepare and propose an annual budget, propose and direct fund-raising activities, audit and report on club finances annually.

c. Recruit new members, monitor community agencies, and report regularly on community issues.

d. Publicize club activities and keep members informed regularly.

e. Assure club representation at local and state meetings and conventions as required and report regularly on party activities.

f. Establish and maintain a Policies and Procedures Manual to ensure best practices, regulatory compliance, and, as necessary, provide guidance on the titles and responsibilities of club officers or committee chairs not enumerated in the club By-laws. Amendments to these Policies and Procedures shall be the province of the Executive Committee, and proposed amendments shall solicit feedback from all serving officers and Executives. Club members shall be notified at the next regular meeting regarding any amendments pertaining to the role of / or rules governing club Treasurer.

Section 4. The President (or) Both Co-Chairs may appoint such other special officers or committees as necessary for carrying out the function of the club. Ad hoc committees may be established to meet short-term needs and perform special tasks. Such appointments, their title and responsibilities, shall be governed by, and enumerated in, the club Policies and Procedures Manual.

Section 5. Delegates to councils or conventions shall be elected at regular meetings. If delegates cannot be elected because of some emergency situation, the President (or) Co-Chair(s) shall appoint the delegates to represent the club from among club members. A report on such appointments shall be made at the next regular meeting.

Article V – Duties of Officers

Section 1.

a. The President (or) One of the Co-Chairs shall preside at all meetings of the club and Executive Committee, and shall be chair of the Club Election Committee.

b. The Vice President (or) One of the Co-Chairs shall preside at club and Executive Committee meetings in the absence of the President.

c. The Treasurer shall keep all financial records and file financial reports regularly.

d. The Secretary shall keep all other club records, including minutes of club meetings, correspondence, a copy of membership rosters and volunteer lists.

e. The GOTV Outreach Coordinator shall organize volunteers to register Party voters, canvass voters in local precincts by walking, phoning, texting and postcard writing, and promote voting for Party candidates. Work with the SLOCDP and other local Democratic entities for various outreach activities as needed, and coordinate Club participation with State and national campaign efforts. Recruit, assign, guide and mentor volunteers.

Section 2. On an as-needed basis, the duties and responsibilities of the club officers may be divided among other elected officers on an “interim” or “acting” basis, as described in the club Policies and Procedures Manual. Club members shall be notified at the next regular meeting if these duties include those of the club Treasurer.

Article VI – Other

Section 1. A quorum shall be declared to exist at any regular or special meeting when fifteen (15) percent of the membership is present.

Section 2. No proxy voting shall be allowed at any meeting of the club or Executive Committee.

Article VII – Amending Process

Section 1. Amendments to these By-laws may be proposed in writing by any member in good standing, with four other members concurring.

Section 2. The By-laws may be amended by a majority vote of those present at a regular meeting following the notification of the proposed changes at least six (6) days prior to that meeting.
